Terms of service
These terms are the rules of the road for using riyalabs.ai, booking a workflow assessment, and the parts of an engagement with Riyalabs that aren’t already covered by a signed Master Services Agreement. Plain language, no surprises.
Effective: February 15, 2026 · Last updated: February 15, 2026
1. The agreement, in two layers
Riyalabs runs in two distinct modes, and which terms apply depends on which mode you are in:
- Visitor / inquirer. You browse riyalabs.ai, read content, book a workflow assessment, or email us. These site terms govern that interaction.
- Customer. Your organization has signed a Master Services Agreement (MSA), a Data Processing Addendum (DPA), and one or more Statements of Work with Riyalabs. Those signed documents control. Where the MSA and these site terms disagree, the MSA wins. These site terms only fill the gaps the MSA does not address — for example, your day-to-day use of riyalabs.ai itself.
By using riyalabs.ai you agree to these terms. If you do not agree, please do not use the site.
2. Who we are, and who can use this
Riyalabs (“Riyalabs”, “we”, “us”, “our”) is an AI co-worker company with offices in Wilmington, Delaware, United States, and Jaipur, Rajasthan, India.
Riyalabs is built for businesses. You must be at least 18 years old and acting on behalf of a legitimate business or yourself in a professional capacity to use the site or engage us. The service is not directed to children under 16; please see the privacy policy for details.
3. What we do, and what we do not
3.1 What we do
- We design, build, and operate AI co-workers for real business workflows — under human approval, on your existing data and existing tools.
- We connect to the systems you already use — for example Salesforce, HubSpot, Snowflake, Slack, Notion, GitHub, Zendesk, Looker, Google Sheets, Jira, Confluence, PagerDuty — under credentials you provision.
- We maintain an audit trail of approvals, refusals, and actions taken on your behalf for the duration of the engagement and a reasonable post-engagement window.
3.2 What we do not do
- We do not take material action on your behalf without a human approval gate, per our default operating model.
- We do not build a parallel data lake of your business data — your data stays on the tools and stores you already use.
- We do not sell, rent, or share your data with brokers, and we do not use your business data to train any generative AI model that benefits anyone other than you.
- We do not guarantee a specific business outcome. AI co-workers are tools; they amplify the judgement of the humans operating them. See sections 8 and 9.
4. Acceptable use
When you use riyalabs.ai or any service we operate for you, you agree not to:
- break the law, or use the service to help anyone else break the law;
- infringe anyone’s intellectual-property, privacy, or publicity rights;
- attempt to interfere with the integrity, security, or performance of the site — including probing, scanning, or testing the vulnerability of any system or network without our written permission;
- reverse-engineer, decompile, or attempt to extract the source code of any non-open component we operate, except to the extent that law permits;
- scrape, harvest, or otherwise collect data from the site through automated means, except for the well-behaved indexing crawlers we explicitly allow in
robots.txt; - use the site or service to send unsolicited bulk communication, malware, or anything similarly hostile.
If you are a customer, the acceptable-use rules in your MSA apply in addition to these.
5. Intellectual property
5.1 The site and brand
The riyalabs.ai site — including its text, graphics, layout, brand mark, color palette, and code — is owned by Riyalabs or licensed to us. We grant you a personal, non-exclusive, non-transferable, revocable licence to view it through a standard web browser. We do not grant you a right to copy, redistribute, or build derivative works from the site itself.
5.2 Your data and your inputs
You own your data and your inputs. When you email us, book a workflow assessment, or engage us, you grant Riyalabs a limited licence to use what you provide for the sole purpose of responding to you and delivering the engagement you contracted us for. Nothing more.
5.3 Engagement deliverables
The intellectual-property terms of any custom AI co-worker, integration, prompt library, or documentation we build for you are set out in your MSA and the relevant Statement of Work. These site terms do not override those.
6. Third-party services
Parts of the riyalabs.ai experience rely on third parties. Your interaction with each of these is also governed by that provider’s own terms:
- Microsoft — powers the workflow-assessment booking flow and hosts our email.
- Hostinger — hosts riyalabs.ai.
- The data sources and tools you connect — in a customer engagement, the co-worker reads from and writes to systems you nominate. Those systems remain governed by your own contracts with their providers, and Riyalabs is not party to those contracts.
7. Fees
Visiting riyalabs.ai and booking a workflow assessment are free of charge. Customer engagements — the design, build, and operation of an AI co-worker — are paid under the fees, payment terms, and refund policy set out in your Statement of Work. These site terms do not set or change those fees.
8. Disclaimers
To the maximum extent permitted by applicable law:
- The riyalabs.ai site is provided “as is” and “as available”, without warranty of any kind — express, implied, or statutory — including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- We do not warrant that the site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- Any information published on the site is provided for general orientation only and is not a substitute for professional advice in your specific situation.
- For customer engagements, the warranties and service-level commitments — if any — are those expressly stated in your MSA and SOW. These site terms do not add any.
9. Limitation of liability
To the maximum extent permitted by applicable law:
- Riyalabs is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, lost revenue, lost goodwill, or business interruption — arising from your use of the site, even if we have been advised of the possibility.
- Our total aggregate liability arising from or relating to your use of riyalabs.ai is capped at USD $100, or, if you are a customer, the cap stated in your MSA — whichever applies to the matter in dispute.
- Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for gross negligence, fraud, or wilful misconduct.
10. Indemnification
You agree to defend, indemnify, and hold Riyalabs (and its directors, officers, employees, and contractors) harmless from any third-party claim, loss, liability, or expense — including reasonable legal fees — arising from (a) your breach of these terms, (b) your violation of any law or third-party right in connection with your use of the site, or (c) any content you submit through the site. We will tell you promptly about any such claim and let you control the defence at your cost.
11. Termination
Riyalabs may suspend or terminate your access to riyalabs.ai at any time, with or without notice, if we reasonably believe you have breached these terms or that suspension is necessary to protect the integrity of the site. You can stop using the site at any time. Termination of access to the site does not by itself terminate any active customer engagement — that is governed by the termination clause in your MSA.
Sections 5 (Intellectual property), 8 (Disclaimers), 9 (Limitation of liability), 10 (Indemnification), 12 (Governing law), and 14 (Contact) survive termination.
12. Governing law and venue
These terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved by good-faith discussion will be brought exclusively in the state or federal courts located in Lake County, Illinois, and you and Riyalabs consent to the personal jurisdiction of those courts.
If you are a customer, the dispute-resolution mechanism in your MSA — including any arbitration provision — takes precedence over this section for matters arising out of the engagement.
13. Changes to these terms
If we make a material change to these terms, we will note the new effective date at the top of this page, and — where we have an active engagement or open inquiry — we will email you at the address on file at least 14 days before the change takes effect. Minor wording or formatting changes can be made without notice. Continuing to use the site after a change means you accept the updated terms.
